1. Definitions
In these Terms, unless context requires otherwise:
- "Platform" means the PrivePas website, web application, APIs, and all related services accessible at privepas.com.
- "Event Owner" means an individual or organisation that purchases a single-event pass to manage one specific event.
- "Event Planner" means a subscriber to a PrivePas monthly plan who manages multiple events for clients.
- "Collab Partner" means a third party granted limited access to a specific event workspace via a collaboration link.
- "Guest" means an individual whose name and contact details are entered into the Platform for event access management.
- "QR Card" means a digitally generated invitation card containing a unique QR code assigned to a specific guest.
- "Access Code" means the one-time alphanumeric code issued after successful payment to enable account registration.
- "We", "us", "our" refers to PrivePas Technologies Limited, registered in Nigeria.
- "You", "user" refers to any individual or entity accessing or using the Platform.
2. Acceptance of Terms
By creating an account, making a payment, or using any feature of the Platform, you confirm that:
- You have read and understood these Terms in full.
- You are at least 18 years of age, or acting with the authority of a legal entity.
- You have the legal authority to enter into a binding agreement.
- You will comply with all applicable laws of the Federal Republic of Nigeria.
If you are using the Platform on behalf of a company or organisation, you represent that you are authorised to bind that entity to these Terms.
3. Description of Service
PrivePas provides a software-as-a-service (SaaS) platform for event access management. The Service includes:
- QR-coded personalised invitation card generation and delivery
- Guest list creation, bulk import, and management
- Real-time event check-in monitoring via QR scan
- Security staff access and scanner link management
- RSVP self-registration pages for guests
- Event analytics and check-in reporting
- Email invitation delivery to guests
- Planner subscription plans for multi-event management
- Collaboration workspaces for partner events
PrivePas is a technology tool provider only. We provide software to assist with event access management. We are not an event management company, security contractor, or physical security provider.
4. Accounts and Registration
Eligibility
You must be at least 18 years old. By registering, you confirm this requirement is met.
Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and access codes. You agree to notify us immediately at hello@privepas.com of any unauthorised access. PrivePas is not liable for any loss or damage resulting from your failure to maintain credential security.
Accurate Information
You agree to provide accurate, current, and complete information during registration and to update it promptly if it changes. Providing false information is grounds for immediate account termination.
Single Account Policy
Each user may maintain only one account per role type. Creating multiple accounts to circumvent plan limits, payment requirements, or suspensions is strictly prohibited and may result in permanent banishment from the Platform.
Access Codes
Access codes issued after payment are single-use, non-transferable, and tied to the email address used at the time of purchase. Access codes expire if unused after 90 days. PrivePas is not responsible if an access code is shared, intercepted, or used by an unintended party.
5. Payments and Subscriptions
Single Event Purchases
Single-event access is a one-time payment based on your declared guest count tier at time of purchase. Payments are final and non-refundable once the access code has been issued and the registration link delivered. Downgrading to a lower guest tier after payment is not permitted.
Planner Subscriptions
Monthly planner subscriptions (Ember, Flare, Sovereign) are billed in advance for each calendar month. Subscriptions are non-refundable once the billing period has commenced, regardless of usage. If you cancel, your access continues until the end of the paid period.
Price Changes
We reserve the right to change pricing at any time. Changes will be communicated at least 14 days in advance by email. Continued use after the effective date constitutes acceptance of revised pricing.
Payment Processing
All payments are processed by Paystack, a third-party PCI-compliant payment provider. By making a payment, you agree to Paystack's terms of service. PrivePas does not store card numbers, CVV codes, or bank account details.
Failed Payments
If a subscription payment fails, access to features may be suspended until payment is successfully processed. PrivePas is not liable for any event disruption resulting from payment failure.
6. Chargebacks and Payment Disputes
By making a payment on PrivePas, you acknowledge that:
- All purchases are final once event access is granted. This means once your access code has been delivered and your account activated, no refund will be issued regardless of whether the event takes place.
- If you believe a payment was made in error or was unauthorised, you must contact us at hello@privepas.com within 7 days of the charge before initiating any chargeback or dispute with your bank or payment provider.
- Initiating a chargeback without first contacting us is a breach of these Terms and may result in immediate permanent account suspension and legal action to recover the amount disputed plus associated fees.
- We cooperate fully with Paystack's dispute resolution process and will provide transaction evidence in all chargeback cases.
- Event cancellation by you or a third party is not a basis for a payment refund. PrivePas delivered the platform service regardless of whether your event proceeded.
7. Acceptable Use
You agree not to use the Platform to:
- Conduct, promote, or facilitate any unlawful activity
- Generate invitations for events that violate any law, infringe rights, or endanger persons
- Attempt to reverse-engineer, decompile, scrape, or circumvent security measures
- Resell, sublicense, or redistribute the Service or generated materials without written permission
- Upload malicious files, scripts, viruses, or content designed to harm the platform
- Impersonate another person, organisation, or official body
- Send unsolicited communications to guests using data obtained through the Platform
- Abuse the QR scanning system to gain unauthorised access to events
- Share, sell, or transfer QR-coded cards to persons other than the named guest
- Deliberately enter false guest numbers to access a lower pricing tier
- Create fake events to exploit the Platform's features
Violations may result in immediate account suspension or permanent termination without notice and without refund.
8. QR Code Usage and Misuse
QR Cards generated by PrivePas are intended for single-use entry validation at the specific event for which they were created. You acknowledge and agree that:
- Each QR code is unique and assigned to a specific named guest. Sharing, forwarding, or transferring a QR card to a person other than the named guest is a misuse of the Platform.
- Event organisers are solely responsible for enforcing physical entry rules at their events, including but not limited to the use of wristbands, stamps, physical identification checks, and security personnel decisions.
- PrivePas provides a digital verification tool only. The Platform does not prevent a guest from physically entering an event if on-ground security chooses to admit them regardless of QR status.
- Duplicate entry prevention (the "already scanned" system) requires that the scanner device has an active internet connection. PrivePas is not responsible for duplicate entries caused by network failure, offline scanning, or deliberate circumvention by event attendees.
- PrivePas is not liable for any loss, injury, or damage resulting from QR code misuse, duplication, impersonation, or circumvention by guests, staff, or any third party.
9. Event Security Disclaimer
PrivePas is not a physical security company and does not provide physical security services. The Platform is a technology tool designed to assist event organisers in managing digital guest verification. You expressly acknowledge and agree that:
- PrivePas has no control over, and assumes no responsibility for, the physical safety and security of any event.
- PrivePas is not responsible for overcrowding, stampedes, fights, accidents, injuries, deaths, property damage, or any other incident occurring at or in connection with any event managed using the Platform.
- The decision to grant or deny physical entry to any individual is the sole responsibility of the event organiser and their security staff. PrivePas provides a recommendation via QR scan status only.
- PrivePas does not verify the identity, age, criminal record, or suitability of any guest. Guest verification beyond QR code scanning is the exclusive responsibility of the event organiser.
- PrivePas is not liable for any claim, lawsuit, regulatory action, or fine arising from an event at which the Platform was used.
- By using PrivePas to manage your event, you indemnify us from any claim made by guests, attendees, authorities, or third parties in connection with the physical management of your event.
10. Platform Performance Disclaimer
We build PrivePas to high standards, but you acknowledge and agree that:
- We do not guarantee uninterrupted, error-free, real-time, or network-independent performance of the Platform.
- Scanner functionality requires an active internet connection. PrivePas is not responsible for scanning failures caused by poor network connectivity, mobile data congestion, venue WiFi issues, or device hardware limitations.
- Card generation, email delivery, and QR validation depend on third-party services (including Resend, Paystack, Cloudinary, and Vercel). We are not liable for delays or failures caused by those providers.
- No guarantee is made about the speed of card generation, email delivery timelines, or the time taken for QR validation responses during peak usage periods.
- You are responsible for testing all Platform features adequately before your event date. We strongly recommend conducting a dry run of the scanning system before event day.
- PrivePas is not liable for any event disruption, reputational damage, financial loss, or guest complaint caused by Platform performance issues on the day of your event.
11. Guest Data and Privacy
When you upload or enter guest lists and personal data into the Platform:
- You are the data controller for your guests' personal information under applicable data protection law, including the Nigeria Data Protection Regulation (NDPR).
- PrivePas acts as a data processor on your behalf, processing guest data solely to deliver the services you have requested.
- You represent that you have a lawful basis for processing each guest's personal data and that you have informed your guests about how their data will be used, including that a QR-coded invitation card will be generated and (where applicable) emailed to them.
- You are responsible for complying with all applicable data protection laws with respect to your guests' data, including obtaining any required consents.
- Guest data will not be shared with any third party except as described in our Privacy Policy or as required by law.
12. Data Accuracy Disclaimer
PrivePas does not verify, validate, or take responsibility for the accuracy, completeness, or legality of any data you upload or enter into the Platform. Specifically:
- We do not verify that guest names, email addresses, or other details are accurate or belong to real individuals.
- We do not verify that you have the legal right to use the personal data you upload.
- We do not verify that invitation cards are being sent to the correct recipients.
- You assume all responsibility and liability for the accuracy and lawfulness of data entered into the Platform.
- PrivePas is not liable for any harm resulting from inaccurate guest data, mistaken identity, wrongful denial of entry, or the sending of invitations to unintended recipients.
13. Intellectual Property
Our Intellectual Property
The PrivePas Platform, including its source code, design, branding, user interface, documentation, and all related materials, is owned by PrivePas Technologies Limited and protected by Nigerian and international intellectual property laws. You may not copy, reproduce, reverse-engineer, or create derivative works without our express written consent.
Your Content
You retain ownership of card templates, images, and other content you upload. By uploading content, you grant PrivePas a non-exclusive, royalty-free, worldwide licence to use that content solely for the purpose of providing the Service to you (e.g., rendering and generating your invitation cards).
Generated Cards
Invitation cards generated by the Platform using your templates and guest data are owned by you, the event organiser. PrivePas retains no rights over the final generated cards.
Feedback
If you submit feedback, suggestions, or ideas about the Platform, you grant PrivePas a perpetual, irrevocable, royalty-free licence to use and implement those ideas without obligation to you.
14. Collaboration Partners
Where an Event Owner or Planner grants a Collab Partner access to an event workspace:
- The Collab Partner gains limited, time-bound access to manage guests and scan check-ins for that specific event only.
- The Event Owner or Planner granting access is responsible for ensuring the Collab Partner uses the workspace lawfully and in accordance with these Terms.
- Collab Partners are bound by these Terms with respect to their use of the Platform, including all data handling, acceptable use, and QR code clauses.
- PrivePas is not a party to any commercial, contractual, or financial arrangement between an Event Owner/Planner and their Collab Partner.
- The Event Owner/Planner indemnifies PrivePas from any claim arising from misuse of the Platform by a Collab Partner they have invited.
- Collab access links expire automatically as configured. PrivePas may revoke any link at any time if misuse is detected.
15. Service Availability
We aim for high availability but do not guarantee uninterrupted access to the Platform. The Service may be unavailable due to:
- Scheduled maintenance (we will endeavour to notify users 24 hours in advance)
- Emergency patches or security responses
- Third-party infrastructure failures (hosting, database, email providers)
- Force majeure events (see Section 20)
PrivePas is not liable for any losses financial, reputational, or otherwise arising from Platform unavailability, regardless of cause.
16. Disclaimer of Responsibility
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRIVEPAS EXPRESSLY DISCLAIMS ALL RESPONSIBILITY FOR:
- Any incident, injury, death, property damage, or loss occurring at or in connection with any event managed using the Platform.
- The conduct of event attendees, security personnel, event staff, or any third party at an event.
- Disputes between event organisers and their guests, including wrongful denial of entry, overbooking, or guest complaints.
- Failure or delay in QR code scanning due to network, device, or power issues.
- Unauthorised duplication, sharing, or screenshot reproduction of QR Cards by guests.
- Physical gate-crashing or unauthorised entry facilitated by circumvention of the QR system.
- Loss of guest data due to user error, account compromise, or failure to back up data before deleting events.
- Any regulatory or legal action taken against an event organiser by authorities in connection with their event.
- Any email delivery failure, spam filtering, or email non-receipt by any guest.
USE OF THIS PLATFORM IS AT YOUR OWN RISK.
17. Limitation of Liability
To the maximum extent permitted by applicable law:
- PrivePas is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
- We are not liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of revenue, loss of profits, loss of data, loss of goodwill, or business interruption.
- Our total aggregate liability for any claim arising out of or in connection with these Terms or the Platform shall not exceed the total amount you paid to PrivePas in the three (3) months immediately preceding the event giving rise to the claim.
- Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.
18. Indemnification
You agree to indemnify, defend, and hold harmless PrivePas Technologies Limited and its officers, directors, employees, agents, and successors from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any event you manage using the Platform, including incidents, injuries, or complaints
- Data you upload, including any breach of a guest's data protection rights
- Any claim by a Collab Partner you have invited
- Infringement of any third-party rights through your use of the Platform
19. Suspension and Termination
Termination by You
You may close your account at any time by contacting us. Closing your account does not entitle you to a refund of any prepaid fees or unused subscription time.
Suspension or Termination by Us
We reserve the right to suspend, restrict, or permanently terminate your account at our sole discretion, including but not limited to the following circumstances:
- Breach of any provision of these Terms
- Suspected or confirmed fraudulent, abusive, or illegal activity
- Repeated or serious violations of the acceptable use policy
- Initiation of a chargeback or payment dispute without prior contact
- Any activity that poses a risk to the Platform, its users, or our reputation
- Failure to pay outstanding fees
- Requirement by law or court order
We may act without prior notice in cases of serious breach, fraud, or security risk. Termination for cause will not entitle you to any refund.
Effect of Termination
Upon termination, your right to access the Platform ceases immediately. We may delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including Sections 6, 9, 10, 12, 16, 17, 18, and 21) shall survive.
20. Force Majeure
PrivePas shall not be liable for any failure or delay in performing its obligations under these Terms caused by circumstances beyond our reasonable control, including but not limited to:
- Acts of God, natural disasters, floods, earthquakes, or pandemics
- Power failures, telecommunications outages, or internet infrastructure failures
- Acts of government, war, terrorism, civil unrest, or sanctions
- Failure or outage of third-party services including Paystack, Vercel, Resend, Cloudinary, or Neon
- Cyberattacks, DDoS attacks, or security breaches beyond our reasonable control
- Labour disputes or strikes
During a force majeure event, our obligations are suspended for the duration of the event. If the force majeure event continues for more than 30 consecutive days, either party may terminate the relevant service arrangement without penalty, subject to no refund of fees already paid.
21. Dispute Resolution
Good Faith Negotiation
Before initiating any formal legal proceedings, you agree to first contact us at hello@privepas.com and provide a written description of your dispute. Both parties agree to attempt resolution in good faith within 30 days of such notice.
Mediation
If good faith negotiation fails, both parties agree to attempt mediation before commencing litigation. Mediation shall be conducted in Lagos, Nigeria by a mutually agreed mediator. The costs of mediation shall be shared equally unless otherwise agreed.
Litigation
If mediation fails or a party declines mediation, disputes shall be resolved by the courts of Nigeria as provided in Section 22.
Individual Claims Only
All claims must be brought on an individual basis. You may not bring any claim as a plaintiff or class member in any class, collective, or representative action.
Time Limitation
Any claim arising out of or relating to these Terms must be brought within one (1) year of the date on which the cause of action arose, or it shall be permanently barred.
22. Governing Law
These Terms are governed exclusively by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any legal proceedings not resolved by mediation shall be subject to the exclusive jurisdiction of the High Court of Lagos State, Nigeria.
23. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify registered users by email at least 14 days before material changes take effect. Non-material changes (such as clarifications, corrections, or additions that do not reduce your rights) may take effect immediately. The "Last updated" date at the top of this page indicates the date of the most recent revision. Continued use of the Platform after the effective date of any change constitutes your acceptance of the revised Terms.
